1. Acceptance of terms
By accessing or using the CIPH4 platform (“Service”) operated by CIPH4 Inc. (“Company,” “we,” “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Age requirement
You must be at least eighteen (18) years old, and have the legal capacity to enter into a binding contract, to register for and use the Service. CIPH4 is a business product intended for use by adults in a professional capacity. By creating an account or accessing the Service, you represent and warrant that you meet this age requirement. If you are accessing the Service on behalf of an organization, you further represent that you are authorized to bind that organization to these Terms.
3. Service description
CIPH4 provides a Secure Link Sharing platform that enables users to share encrypted secrets via self-destructing, one-time links. Key characteristics of the Service include:
- Client-side encryption using AES-256-GCM before data leaves your device
- Compound expiry: every secure link is removed once the first configured limit is reached (expiration time, view count, or download count, whichever occurs first)
- Configurable expiration times for automatic deletion of unviewed secure links, capped at 7 days
- Optional passphrase protection for additional security
4. User responsibilities
You agree to the following when using our Service:
- No illegal activity: You will not use the Service to share content that violates any applicable law, including but not limited to illegal materials, threats, or content that facilitates criminal activity.
- No circumventing security: You will not attempt to bypass, disable, or interfere with any security features of the Service, including encryption, access controls, or rate limiting.
- No abuse: You will not use the Service for spam, phishing, or to distribute malware.
- Account security: You are responsible for maintaining the security of your account credentials and for all activity under your account.
5. Intellectual property
The Service, including its design, code, branding, and documentation, is the intellectual property of CIPH4 Inc. and is protected by applicable copyright, trademark, and trade secret laws.
You retain full ownership of any content you encrypt and share through the Service. We claim no rights to your encrypted data.
6. Indemnification
By you.You agree to defend, indemnify, and hold harmless CIPH4 Inc., its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the content you transmit, store, or share through the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of a third party; or (d) your use of the Service in a manner not authorized by these Terms.
By CIPH4.CIPH4 will defend you against any third-party claim alleging that the Service, as provided by CIPH4 and used in accordance with these Terms, infringes that third party's intellectual property rights, and will pay damages finally awarded against you (or amounts in settlement approved by CIPH4) for such a claim. This obligation does not apply to claims arising from: your content, your modifications to the Service, your combination of the Service with products or services not provided by CIPH4, or your use of the Service after CIPH4 has notified you to stop because of such a claim.
The party seeking indemnification must promptly notify the other of the claim, give the indemnifying party sole control of the defense and settlement, and provide reasonable cooperation. The indemnities in this section are the indemnifying party's sole liability, and the indemnified party's exclusive remedy, for any third-party intellectual-property infringement claim related to the Service.
7. Limitation of liability
IMPORTANT: PLEASE READ CAREFULLY
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CIPH4 INC., ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS) ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF CIPH4 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the minimum extent permitted by applicable law.
8. Service availability
We do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Scheduled maintenance windows will be announced in advance when possible.
9. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms, or if we reasonably believe your use poses a security risk. You may terminate your account at any time by contacting us.
Upon termination, your right to use the Service ceases immediately. Any active secure links associated with your account will be destroyed. Provisions that by their nature should survive termination will remain in effect.
10. Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of California.

Notification will include: a description of the incident, the data potentially affected, remediation steps taken, and recommended actions for your organization.
12. Pricing changes
CIPH4 may modify plan prices with 30 days' prior written notice. Current customers retain their existing price until the next billing cycle following the notice period. You may downgrade or cancel without penalty during the notice period.
13. Changes to these terms
We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the “Last updated” date, and (for material changes that adversely affect your rights) providing reasonable advance notice via the email address associated with your account. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service.
14. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy and any order form, statement of work, or written agreement signed by both parties, constitute the entire agreement between you and CIPH4 regarding the Service and supersede all prior or contemporaneous communications, whether oral or written.
- Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be modified, severed from these Terms; the remaining provisions will continue in full force and effect.
- No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by CIPH4 to be effective.
- Assignment. You may not assign or transfer these Terms or any of your rights or obligations under them, in whole or in part, without our prior written consent. Any attempted assignment in violation of this provision is void. CIPH4 may freely assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets.
- Force majeure. Neither party will be liable for any failure or delay in performance under these Terms (other than your payment obligations) caused by events beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government action, internet or telecommunications failures, denial-of-service attacks, pandemics, or third-party service outages.
- Survival. Provisions that by their nature should survive termination of these Terms (including without limitation Intellectual Property, Indemnification, Limitation of Liability, Governing Law, and this Miscellaneous section) will so survive.
